We reserve the right to add, remove, or replace third-party service providers at our sole discretion and without notice. This may affect the availability, functionality, or quality of specific features.

FORGEFILE DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, CORRECTNESS, OR QUALITY OF ANY AI-GENERATED OUTPUTS.

This includes, but is not limited to:

• Translations may contain errors, inaccuracies, or mistranslations
• Transcriptions may omit words, include incorrect words, or misattribute speakers
• Summaries may omit important information or misrepresent content
• File conversions may result in formatting loss, data corruption, or incomplete output
• OCR results may contain recognition errors, especially with handwriting or low-quality images

YOU ARE SOLELY RESPONSIBLE FOR:

• Reviewing and verifying all outputs before use
• Determining whether outputs are suitable for your intended purpose
• Any decisions or actions taken based on service outputs
• Obtaining professional review where required (legal, medical, technical documents)

AI-powered services are inherently imperfect. Results vary based on input quality, language complexity, subject matter, and other factors beyond our control.

Your Responsibility for Content

You are solely responsible for all content you upload, submit, or process through our platform ("User Content"). By using our services, you represent and warrant that:

• You own or have all necessary rights, licenses, and permissions to the User Content
• Your User Content does not infringe upon any intellectual property rights of any third party
• Your User Content does not contain illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable material
• You have obtained all necessary consents for any personal data contained in your User Content
• For audio/video content: You have obtained all legally required consents from all parties whose voices or images are recorded

No Screening Obligation

We are under no obligation to review, screen, or monitor User Content. We do not endorse and are not responsible for any User Content. We may, but are not obligated to, remove or disable access to any User Content at our sole discretion and without notice.

Processing by Third Parties

You acknowledge that your User Content may be processed by third-party AI systems over which we have limited control. While we implement reasonable security measures, we cannot guarantee the absolute security or confidentiality of User Content during processing by third-party providers.

Prohibited Uses

You agree NOT to use our services for:

• Any illegal activities or content that violates applicable laws
• Copyright, trademark, or other intellectual property infringement
• Processing content containing child exploitation material
• Harassment, threats, or abusive behavior toward any person
• Distributing malware, viruses, or other harmful code
• Attempting to reverse engineer, hack, or compromise our systems
• Circumventing usage limits, quotas, or security measures
• Reselling, sublicensing, or redistributing our services without authorization
• Generating spam, phishing content, or fraudulent materials
• Processing sensitive data without proper legal basis and safeguards
• Using the Service on behalf of third parties without our consent
• Operating a competing service using our platform

Fair Usage Policy

To ensure stable operation and fair access for all users, we reserve the right to:

• Limit file sizes, processing times, or request volumes
• Throttle, queue, or reject requests that strain our infrastructure
• Restrict processing of excessively large files (e.g., e-books, multi-hour recordings)
• Suspend accounts that consume disproportionate resources

Fair usage limits are determined at our sole discretion and may change without notice. Exceeding fair usage limits may result in throttling, suspension, or additional charges.

Automation & API Abuse

The following automated activities are strictly prohibited unless explicitly authorized in writing:

• Use of bots, scrapers, crawlers, or automated scripts to access the Service
• Automated bulk submissions or batch processing beyond plan limits
• Integration with third-party systems for commercial redistribution
• Circumventing rate limits or authentication mechanisms

Academic Integrity & Misuse Disclaimer

ForgeFile is NOT intended for:

• Plagiarism, academic dishonesty, or cheating on assignments, exams, or assessments
• Submitting AI-generated or translated content as original work without disclosure
• Circumventing plagiarism detection systems
• Violating academic integrity policies of educational institutions

WE EXPLICITLY DISCLAIM ALL RESPONSIBILITY for any consequences arising from misuse of our services for academic dishonesty, fraud, or deception. Users are solely responsible for ensuring their use complies with applicable academic policies, professional ethics, and legal requirements.

If you are a student, employee, or professional subject to integrity policies, it is YOUR responsibility to understand and comply with those policies when using our services.

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You are responsible for all activities that occur under your account
• One person or entity may not maintain multiple accounts without permission

Pricing & Plans

Service fees are charged according to our current pricing schedule available on our website. Prices may change at any time with reasonable notice.

Free Trial Subscriptions

In certain cases, we may grant you a free trial subscription at our sole discretion. This may occur when you exceed free plan limits or in other circumstances we determine.

YOU ARE SOLELY RESPONSIBLE for monitoring and managing your subscription status. This includes:

• Tracking when your trial period starts and ends
• Cancelling before the trial converts to a paid subscription
• Understanding the terms of your subscription plan
• Keeping your payment information current

We are not obligated to send reminders about trial expiration. Failure to cancel before trial ends will result in automatic billing.

Subscriptions

• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds for partial billing periods or unused time

Payment Processing

• Payments are processed through third-party providers (Stripe, PayPal)
• We reserve the right to suspend services for non-payment
• You are responsible for any fees charged by your payment provider

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, FORGEFILE LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• NON-INFRINGEMENT

• UNINTERRUPTED, TIMELY, OR ERROR-FREE OPERATION
• SECURITY OR FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS

WE SPECIFICALLY DISCLAIM ANY WARRANTY THAT:

• Translations, transcriptions, or other AI outputs are accurate or error-free
• The services will meet your specific requirements
• Third-party AI providers will be available or reliable
• Your files or data will not be lost, corrupted, or inaccessible
• Our services comply with industry-specific regulations applicable to your use

Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEFILE LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND THIRD-PARTY PROVIDERS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute services
• Damages arising from errors or inaccuracies in AI-generated outputs
• Damages arising from unauthorized access to or alteration of your data
• Damages arising from third-party service provider failures
• Damages arising from your reliance on service outputs

Liability Cap

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO FORGEFILE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, OUR MAXIMUM LIABILITY SHALL BE ZERO DOLLARS ($0).

Essential Basis

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we were advised of the possibility of such damages. These limitations reflect the allocation of risk and form an essential basis of the agreement between you and ForgeFile.

You agree to indemnify, defend, and hold harmless ForgeFile LLC, its affiliates, directors, officers, employees, agents, and third-party providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys\' fees) arising from:'|trans }}

• Your use of the services or any outputs generated therefrom
• Your User Content, including claims of infringement
• Your violation of these Terms or applicable laws
• Your violation of any third-party rights
• Your use of AI outputs in professional, legal, medical, or other contexts

ForgeFile shall not be liable for any failure or delay in performing its obligations where such failure results from circumstances beyond our reasonable control, including:

• Acts of God, natural disasters, or severe weather
• War, terrorism, civil unrest, or government actions
• Epidemics, pandemics, or public health emergencies
• Third-party service provider outages or failures
• Internet or telecommunications failures
• Cyberattacks, hacking, or security incidents
• Power outages or equipment failures
• Changes in applicable laws or regulations

Your Content

You retain ownership of your User Content. You grant us a limited license to process your content solely for service delivery.

Our Platform

ForgeFile owns all rights to our platform, software, and services. You may not copy, modify, or distribute our software.

You may terminate your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination:

• Your access to services will be discontinued
• Your data will be deleted per our retention policy
• Outstanding payments remain due
• Certain sections survive termination (see Section 19 - Survival)

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law provisions.

Binding Arbitration

Any disputes arising from these Terms or your use of our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

EU Users

For users in the European Economic Area, mandatory consumer protection laws of your country of residence may apply to the extent required.

• Beta Features may be modified, suspended, or discontinued at any time without notice
• Data processed through Beta Features may be lost or corrupted
• We have no liability for any harm caused by Beta Features

USE BETA FEATURES AT YOUR OWN RISK. We strongly recommend not using Beta Features for critical or production workflows.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by ForgeFile. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ForgeFile regarding your use of the Services. These Terms supersede all prior and contemporaneous agreements, proposals, negotiations, representations, or communications, whether oral or written, relating to the subject matter hereof. No oral statements or written materials provided by ForgeFile employees, contractors, or representatives shall modify or supplement these Terms.

No Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision is void. ForgeFile may assign these Terms or any rights hereunder without your consent in connection with a merger, acquisition, reorganization, or sale of assets.

No Agency or Partnership

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and ForgeFile. You have no authority to bind ForgeFile or make any representations on our behalf. You may not represent yourself as an agent, partner, or representative of ForgeFile.

Electronic Agreement

By clicking "I Agree," creating an account, or using our Services, you agree to be bound by these Terms. You acknowledge that this electronic acceptance constitutes a valid and binding agreement equivalent to a handwritten signature. You consent to receive all communications, agreements, and notices electronically, including via email or through our platform.

Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.

Language

The English language version of these Terms is the legally binding version. Any translations of these Terms into other languages are provided for convenience only. In the event of any conflict or discrepancy between the English version and any translated version, the English version shall prevail and govern.
